TOURFLOW Terms of Service Last Updated: August 2026 | Effective upon use of the platformPlease read these Terms of Service (“Terms”) carefully before using the TourFlow platform, website, or any related services (collectively, the “Platform”). These Terms constitute a legally binding agreement between you and TourFlow LLC (“TourFlow,” “we,” “us,” or “our”). Your access to or use of the Platform — including uploading any content — constitutes your unconditional acceptance of these Terms. If you do not agree, do not use the Platform.1. Parties and ScopeThese Terms govern all users of the Platform, including:Fan Uploaders: individuals who upload photos, videos, or other content via a QR code, direct link, or any other Platform entry point;Artist Users: recording artists, performers, and their authorized representatives who access the artist dashboard;Management / Label Users: management companies, record labels, booking agencies, and other business entities accessing the Platform on behalf of one or more artists; andVisitors: any person who accesses the Platform without uploading content or creating an account.These Terms apply to all access and use regardless of device, method of access, or whether you have created an account.2. Platform DescriptionTourFlow is a live-event content infrastructure platform that enables artists, management companies, and their authorized teams to collect, organize, review, and deploy fan-submitted content from live events. Core functions include:Fan content upload via QR code or direct link, without requiring a fan account;Automated organization of uploaded content by artist, tour, and event date;Artist and management dashboard for reviewing, approving, and downloading content;First-party fan data capture (where fans voluntarily provide contact information); andContent workflow tools to facilitate social media deployment.TourFlow acts as both a technology platform and a content conduit. We host, process, transmit, and may display uploaded content in the course of providing these services. We are not a passive storage provider.3. EligibilityYou must be at least 13 years of age to use the Platform in any capacity, including uploading content. By using the Platform, you represent and warrant that you are at least 13 years old.Content Depicting Minors: If any content you upload depicts an identifiable minor (any person under 18), you represent and warrant that you are the parent or legal guardian of that minor and have full authority to grant the rights set forth in Section 5 on that minor’s behalf. TourFlow reserves the right to remove any content depicting minors at its sole discretion without notice. Artists and management users accept responsibility for ensuring that any content they approve or use featuring minors has appropriate parental or guardian consent.4. Accounts4a. Artist and Management AccountsArtist and management users must register for an account. You agree to provide accurate, current, and complete information and to update it as needed. You are solely responsible for maintaining the confidentiality of your login credentials; all activities that occur under your account, whether authorized by you or not; and immediately notifying TourFlow at legal@tourflow.net of any unauthorized access or security breach.TourFlow is not liable for any loss or damage arising from unauthorized account access resulting from your failure to safeguard your credentials.4b. No Account Required for FansFan uploaders do not need to create an account. However, all other provisions of these Terms apply to fan uploaders from the moment they access the upload interface.5. Content Uploads and Grant of Rights5a. Scope of License GrantBy uploading any photo, video, audio recording, or other content (“Content”) to the Platform, you hereby grant to TourFlow LLC and to the artist(s) associated with the event for which the Content was uploaded (each an “Artist”), jointly and severally, a worldwide, non-exclusive, irrevocable, perpetual, royalty-free, fully paid-up, sublicensable, and transferable license to:use, reproduce, modify, adapt, edit, translate, create derivative works from, distribute, publicly perform, publicly display, transmit, and otherwise exploit the Content, in whole or in part;use the Content for any purpose, including but not limited to: social media posts, Instagram Reels, TikTok videos, YouTube content, tour recap videos, promotional materials, advertising campaigns, press releases, music videos, merchandise, and internal business purposes;sublicense these rights to third parties, including distributors, media partners, and platforms;use the Content in connection with TourFlow’s own marketing, product demonstrations, case studies, and investor materials; andretain and use the Content after the termination of any agreement with the associated Artist.TourFlow is expressly identified as the primary rights recipient under this license, acting as a pass-through to the Artist. The license granted to TourFlow is independent of and does not diminish the license granted to the Artist. Both licenses are granted simultaneously upon upload.5b. Representations and Warranties by UploadersBy uploading Content, you represent, warrant, and covenant that:you are the sole and exclusive original creator and owner of the Content, or you have obtained all necessary rights, licenses, consents, and permissions to grant the license set forth in Section 5a;the Content does not and will not infringe, misappropriate, or violate any intellectual property rights, privacy rights, right of publicity, moral rights, or any other rights of any third party;you have obtained written consent from any identifiable adult individual depicted in the Content, or you are the parent or legal guardian of any identifiable minor depicted and have full authority to grant rights on their behalf;the Content is not defamatory, obscene, or otherwise unlawful; andyou have the legal right and authority to grant the rights described in Section 5a.5c. Moral Rights WaiverTo the fullest extent permitted by applicable law, you waive any and all moral rights, rights of attribution, and rights of integrity you may have in the Content in connection with TourFlow’s and the Artist’s exercise of the rights granted under these Terms.5d. No CompensationYou acknowledge and agree that you will not receive any compensation, payment, royalty, or other consideration for the Content or the rights granted herein, unless a separate written agreement expressly provides otherwise.6. Fan Data Collection and Privacy6a. Data CollectedWhen fans interact with the Platform, TourFlow may collect the following data, to the extent voluntarily provided: phone number and/or email address (if entered during the upload flow); IP address, device type, and browser information (automatically collected); the Content itself, including any embedded metadata such as location data and timestamps; and event-level identifiers including artist, tour, show date, and venue.6b. Use of Fan DataFan contact data collected through the Platform may be used by TourFlow and by the associated Artist for marketing communications including SMS and email campaigns subject to applicable law; building and maintaining fan CRM lists; and TourFlow’s internal analytics and product improvement.By voluntarily providing contact information, fans consent to receive communications from both TourFlow and the Artist. Fans may opt out of communications at any time using the unsubscribe mechanism provided in any message. Opt-out from Artist communications does not automatically opt out from TourFlow communications, and vice versa.6c. TCPA and Applicable Law ComplianceTourFlow is committed to compliance with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all other applicable data privacy laws. By providing a phone number, fans expressly consent to receiving automated marketing text messages from TourFlow and from the Artist at that number. Standard message and data rates may apply. This consent is not a condition of any purchase. TourFlow does not guarantee, and is not responsible for, each Artist’s independent compliance with applicable data privacy law.6d. Data SecurityTourFlow implements commercially reasonable security measures to protect collected data. However, no system is completely secure. TourFlow is not liable for unauthorized access to user data resulting from circumstances beyond its reasonable control.7. Platform Use and Prohibited ConductYou agree not to use the Platform to upload Content that is unlawful, defamatory, obscene, pornographic, harassing, threatening, or otherwise objectionable; upload Content that infringes any third party’s intellectual property, privacy, or right of publicity; upload Content depicting sexually explicit material or content involving minors in any inappropriate context; attempt to gain unauthorized access to any portion of the Platform, other users’ accounts, or TourFlow’s systems; interfere with, disrupt, or damage the Platform or its infrastructure; use automated tools such as bots, scrapers, or crawlers to access the Platform without written authorization; impersonate any person or entity, or misrepresent your affiliation with any person or entity; circumvent or attempt to circumvent any content filtering, access controls, or technical measures; use the Platform in violation of any applicable law, regulation, or third-party agreement; or collect or harvest data from other users of the Platform without their express consent.TourFlow reserves the right to remove any Content and suspend or terminate any account that violates these prohibitions, at its sole discretion, without notice or liability.8. Intellectual Property8a. TourFlow IPAll technology, software, code, design, trademarks, service marks, logos, trade names (including “TourFlow” and “FlowState”), domain names, and other intellectual property owned by or licensed to TourFlow are and remain the exclusive property of TourFlow LLC. Nothing in these Terms grants you any right, title, or interest in TourFlow’s intellectual property except the limited right to use the Platform as expressly described herein.8b. FeedbackIf you provide TourFlow with any feedback, suggestions, ideas, or other input regarding the Platform (“Feedback”), you hereby assign all right, title, and interest in that Feedback to TourFlow, and TourFlow may use it for any purpose without compensation or attribution to you.8c. Copyright Policy and DMCA ProcedureTourFlow respects the intellectual property rights of others and expects users of the Platform to do the same. TourFlow has adopted this policy in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512) (“DMCA”). Our full Copyright & DMCA Policy, including our Designated Agent’s contact information and the domains it covers, is posted at tourflow.us/copyright-dmca-policy and is incorporated into these Terms by reference.Filing a DMCA Takedown Notice. If you believe in good faith that Content on the Platform infringes your copyright, you or your authorized agent may submit a written notice to our Designated Agent that includes, at minimum, all elements required under 17 U.S.C. § 512(c)(3)(A): (i) a physical or electronic signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed; (ii) identification of the copyrighted work claimed to have been infringed, or a representative list if multiple works are covered by a single notification; (iii) identification of the material claimed to be infringing and information reasonably sufficient to permit TourFlow to locate it on the Platform; (iv) information reasonably sufficient to permit TourFlow to contact you, including an address, telephone number, and email address; (v) a statement that you have a good faith belief that the use complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner. Notices should be sent to our Designated Agent at the contact information in Section 17 or on our Copyright & DMCA Policy page. A notice that omits any of these elements may not be a valid DMCA notice.Counter-Notification. If Content you uploaded was removed or disabled and you believe this was the result of mistake or misidentification, you may submit a written counter-notification to our Designated Agent that includes: (i) your physical or electronic signature; (ii) identification of the material removed or disabled and its location before removal; (iii) a statement, under penalty of perjury, that you have a good faith belief the material was removed or disabled as a result of mistake or misidentification; and (iv) your name, address, and telephone number, together with a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if outside the United States, any judicial district in which TourFlow may be found) and that you will accept service of process from the person who submitted the original takedown notice or their agent. Upon receiving a valid counter-notification, TourFlow will forward it to the original complaining party and may restore the removed Content within 10 to 14 business days unless the complainant first notifies us that it has filed a court action seeking to restrain the alleged infringer from engaging in infringing activity.Repeat Infringer Policy. In accordance with the DMCA, TourFlow will terminate, under appropriate circumstances and at its sole discretion, the accounts of users determined to be repeat infringers. TourFlow may also limit access to the Platform or terminate any account that infringes the intellectual property rights of others, whether or not there is repeat infringement.Misrepresentations. Under 17 U.S.C. § 512(f), anyone who knowingly materially misrepresents that material is infringing, or that it was removed or disabled by mistake or misidentification, may be liable for damages, including costs and attorneys’ fees.9. Artist and Management User ObligationsArtist and management users, in addition to all other obligations under these Terms, agree to ensure that any Content they approve, download, or use through the Platform has proper rights clearances including consent from identifiable individuals depicted therein; accept full responsibility for ensuring that Content featuring minors has appropriate parental or guardian consent before use; not share dashboard access credentials with unauthorized third parties; use fan contact data collected through the Platform only in compliance with applicable law including the TCPA and CAN-SPAM Act; and not resell, sublicense, or otherwise commercialize TourFlow’s Platform or technology to third parties without TourFlow’s prior written consent.10. Disclaimer of WarrantiesTHE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOURFLOW EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; WARRANTIES THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; WARRANTIES AS TO THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE PLATFORM; AND WARRANTIES THAT DEFECTS WILL BE CORRECTED.NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY TOURFLOW OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.11. Limitation of LiabilityTO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOURFLOW, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM. TOURFLOW’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TOURFLOW IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF TOURFLOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential or incidental damages. In such jurisdictions, liability is limited to the fullest extent permitted by law.12. IndemnificationYou agree to defend, indemnify, and hold harmless TourFlow LLC and its officers, directors, employees, agents, licensors, and successors from and against any and all claims, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Platform or violation of these Terms; Content you upload, including any claim that your Content infringes a third party’s rights; your violation of any applicable law, regulation, or third-party rights; and any misrepresentation made by you.TourFlow reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense, and you agree to cooperate fully with that defense.13. Content Moderation and Platform IntegrityTourFlow is a content conduit and platform operator. We do not guarantee that we will review all uploaded Content prior to it appearing in an artist’s dashboard. However, TourFlow reserves the right — but assumes no obligation — to review, monitor, or remove any Content at any time and for any reason without notice; decline to process or transmit Content that we believe, in our sole discretion, violates these Terms or is otherwise objectionable; and cooperate with law enforcement in connection with any investigation of unlawful activity involving Content uploaded to the Platform.TourFlow is not liable for any Content uploaded by users and does not endorse any Content or the views expressed therein. Our exercise — or failure to exercise — moderation rights does not create liability or waive our rights under these Terms.14. Termination14a. Termination by TourFlowTourFlow may suspend or permanently terminate your access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, without limitation: violation of these Terms; conduct harmful to TourFlow, other users, third parties, or the public; fraudulent, abusive, or illegal activity; and at TourFlow’s sole discretion for any operational or business reason.14b. Effect of TerminationUpon termination: (a) your right to access and use the Platform immediately ceases; (b) TourFlow may delete your account data in accordance with our data retention policies; and (c) all licenses you have granted under Section 5 survive termination and remain in full force and effect. Sections 5, 6, 8, 10, 11, 12, 14, 15, 16, and 17 survive termination.15. Dispute Resolution and Governing Law15a. Governing LawThese Terms and any dispute arising out of or related to them or the Platform shall be governed by and construed in accordance with the laws of the State of Texas (or, upon conversion to a Delaware C Corp, the State of Delaware), without regard to its conflict of law principles.15b. Informal ResolutionBefore initiating any formal dispute process, you agree to contact TourFlow at legal@tourflow.us and attempt to resolve the dispute informally for at least thirty (30) days.15c. Binding ArbitrationEXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION UNDER THE AMERICAN ARBITRATION ASSOCIATION (AAA) COMMERCIAL ARBITRATION RULES, CONDUCTED IN AUSTIN, TEXAS. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR’S AWARD SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.15d. Injunctive ReliefNotwithstanding the arbitration clause, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm pending arbitration.16. General Provisions16a. Entire Agreement. These Terms, together with TourFlow’s Privacy Policy and Copyright & DMCA Policy (each incorporated herein by reference), constitute the entire agreement between you and TourFlow regarding the Platform and supersede all prior agreements, representations, and understandings.16b. Severability. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.16c. No Waiver. TourFlow’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.16d. Assignment. TourFlow may assign or transfer these Terms, in whole or in part, to any affiliate, successor entity, or acquirer without notice. You may not assign or transfer any of your rights or obligations under these Terms without TourFlow’s prior written consent.16e. Modifications. TourFlow reserves the right to modify these Terms at any time. We will post the updated Terms on the Platform with a revised “Last Updated” date. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Platform.16f. Force Majeure. TourFlow is not liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, government action, labor disputes, or internet infrastructure failures.17.
